Terms of Service

These Terms govern your access to and use of Siteplann. By using our services, you agree to the terms below.

These Terms of Service ("Terms") are a legally binding agreement between you and Siteplann Project Mgmt Inc. ("Siteplann," "we," "our," or "us") regarding your use of the Siteplann website, web application, and related services (collectively, the "Services").

If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.

1. Eligibility and Account Registration

You must provide accurate account information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

  • You must use the Services in compliance with applicable laws and regulations.
  • You must promptly notify us of any unauthorized access or security incident involving your account.
  • You are responsible for managing your team members and access permissions.

2. Services and Acceptable Use

Siteplann provides tools for construction project management, including modules for project tracking, tasks, BOQs, labor, inventory, safety, reporting, and document handling.

You agree not to:

  • Use the Services to violate law, infringe rights, or submit fraudulent information.
  • Upload malicious code, attempt unauthorized access, or interfere with platform operation.
  • Reverse engineer, copy, or misuse the Services except as permitted by law.
  • Use the Services to store or transmit harmful, abusive, or unlawful content.

3. Customer Data and Responsibilities

You retain ownership of data, files, and content you submit to the Services ("Customer Data"). You grant Siteplann a limited license to host, process, and transmit Customer Data solely to provide, secure, and improve the Services.

You are responsible for the legality, quality, and accuracy of Customer Data, including obtaining necessary rights and consents from your workers, contractors, and project stakeholders.

4. Subscriptions, Fees, and Billing

Paid plans are billed on a subscription basis. Pricing, billing intervals, and included limits are shown at purchase or in your contract.

  • Fees are generally non-refundable unless required by law or expressly stated otherwise.
  • You authorize us (or our payment processor) to charge your payment method for applicable fees and taxes.
  • Failure to pay may result in suspension or termination of access.

5. Availability and Changes

We work to keep the Services available and reliable but do not guarantee uninterrupted operation. We may modify features, limits, or functionality from time to time, including for security, legal, or operational reasons.

6. Intellectual Property

Siteplann and its licensors own all rights, title, and interest in the Services, including software, designs, branding, and documentation. These Terms do not grant you ownership of the Services, only a limited right to use them under these Terms.

7. Confidentiality

Each party may receive confidential information from the other. The receiving party will use confidential information only as needed under these Terms and protect it with reasonable care.

8. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially violate these Terms, pose a security risk, or where required by law.

Upon termination, your right to use the Services ends. We may delete or anonymize Customer Data according to our retention practices and applicable law.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Siteplann disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Siteplann is a software platform and does not provide engineering, legal, safety certification, or regulatory compliance advice.

10. Limitation of Liability

To the maximum extent permitted by law, Siteplann will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or data.

Our aggregate liability arising from or related to the Services will not exceed the amounts paid by you to Siteplann for the Services during the twelve (12) months before the event giving rise to liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Siteplann from claims, damages, liabilities, and expenses arising from your use of the Services, your Customer Data, or your breach of these Terms, to the extent permitted by law.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Courts located in California will have exclusive jurisdiction over disputes arising from these Terms, unless applicable law requires otherwise.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version and update the "Last Updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
